Wagold has adopted a diversity policy and enhanced its risk management framework, while partially adhering to ASX Corporate Governance Council recommendations.
Material actions and disclosures
The company has established a diversity policy, which includes annual reviews of measurable objectives for achieving gender diversity. However, the company has not formally established diversity targets and does not disclose progress towards achieving such targets due to its current minor operations.
Wagold also has an Audit and Risk Committee, which is comprised of three independent non-executive directors. The committee oversees the adequacy and effectiveness of the company’s accounting and financial policies and controls, as well as the financial reporting process.
The company has adopted a whistleblower policy and an anti-bribery and corruption policy, both of which are disclosed on its website.
Wagold has also disclosed its material environmental and social risks, including exploration risks, licence renewal risks, and future capital requirements.
Forward commitments
The company intends to disclose the fact that reviews of its risk management framework have been undertaken on an annual basis going forward.
Wagold will reconsider the appropriateness of adopting an internal audit function as its operations grow and evolve.
