CTM Announces Enhanced Governance and Compliance Frameworks

CTM has announced a range of measures to strengthen its governance and compliance frameworks, including updates to whistleblower and securities trading policies, and the launch of a global culture review.

Material actions and disclosures

The Group has updated its Whistleblower Policy to introduce additional Whistleblower Protection Officers in regions, an additional reporting channel via a dedicated email inbox, and clarified the process for investigation and subsequent reporting. The Securities Trading Policy was also updated to include a minimum shareholding requirement for Non-Executive Directors and Executives, for greater alignment with shareholders’ interests and general uplifts to clarify the approval process for exemptions and trading approvals.

The Group’s Privacy Policy was updated during the Reporting Period to promote global consistency and transparency across the Group. All employees are required to complete mandatory compliance training on the practical application of relevant policies, including a policy attestation process.

Forward commitments

The Group has established an Assurance and Internal Audit workstream as part of the Governance Uplift Program, aimed at providing independent assurance, validating the effectiveness of the Group’s governance and control frameworks, monitoring adherence and verifying execution discipline across the Group. The Group has also appointed an Enterprise Governance Program Director and established a dedicated remediation program office to support Board oversight, reporting, and coordination of the Governance Uplift Program.

The Remuneration and Sustainability Committee monitors the Group’s diversity profile and progress against measurable objectives, and reports to the Board on key outcomes. Improving gender diversity in senior leadership and the Board remains a priority.
