Whitehaven Announces Re-election of Directors and Capital Allocation Framework

Whitehaven Coal Limited has announced the re-election of its non-executive directors, including Wallis Graham, Mick McCormack, and Fiona Robertson, who will retire by rotation in accordance with the company’s constitution. The company’s board values the directors’ extensive experience and contributions to its committees, particularly in areas such as remuneration, audit, and risk management.

Material Actions and Disclosures

Whitehaven has delivered a total shareholder return (TSR) of 448% over the five years to 30 June 2026, ranking it among the top five ASX100 companies. The company has returned approximately $2.8 billion to shareholders through fully franked dividends and share buy-backs while increasing ROM production from 20.6Mt in FY21 to 40.3Mt in FY26.

The company’s Capital Allocation Framework guides the deployment of surplus capital to organic growth opportunities where returns are compelling and minimum investment hurdle rates are satisfied. This framework is designed to support the delivery of shareholder value by maintaining and optimising operations, preserving balance sheet strength through the cycle, and investing in growth where returns are compelling.

Forward Commitments

Whitehaven is currently advancing two development projects: the Vickery Extension Project in New South Wales and Winchester South in Queensland. The company is undertaking scenario analysis and resilience testing to assess the financial viability of these projects under various climate change scenarios.
