Material Actions and Disclosures

The company has adopted a Diversity Policy that provides a framework for establishing and achieving measurable diversity objectives, including gender diversity. The policy allows the Board to set measurable gender diversity objectives if considered appropriate and to assess annually both the objectives and the Company’s progress in achieving them. However, the Board did not set measurable gender diversity objectives for the past financial year due to the limited nature of the Company’s existing and proposed activities and the Board’s view that the existing Directors and senior executives have sufficient skill and experience to carry out the Company’s plans.

The company has an Audit & Risk Management Committee (ARMC) with three independent, non-executive directors, chaired by an independent director who is not the chair of the Board. The ARMC met twice during the reporting period, with all members in attendance at each meeting.
