QX Resources Announces Corporate Governance Policies and Compliance

QX Resources has disclosed its corporate governance policies, including a code of conduct, whistleblower policy, and anti-bribery and corruption policy, in line with regulatory requirements. The company’s Corporate Governance Plan outlines these policies and their respective roles in ensuring lawful, ethical, and responsible business practices.

Material Actions and Disclosures

The company has a Code of Conduct that sets out principles and standards for directors, management, and employees to follow when dealing with each other, shareholders, and the broader community. Additionally, QX Resources has a Whistleblower Policy and an Anti-bribery and Corruption Policy, both of which are available on the company’s website.

The Board aims to review its performance and that of its committees and individual directors on an annual basis, although no formal performance evaluations were completed during the past financial year. The company also has a Diversity Policy that provides a framework for establishing and achieving measurable diversity objectives, including gender diversity.

QX Resources does not have an Audit and Risk Management Committee, but the full Board acts as the Audit and Risk Committee due to the relatively small number of Directors. The Board carries out the duties that would ordinarily be carried out by the Audit and Risk Management Committee, including overseeing the entity’s risk management framework.

The company’s Corporate Governance Plan includes a Remuneration Committee Charter, which outlines the processes for setting the level and composition of remuneration for directors and senior executives. Remuneration levels are competitively set to attract suitably qualified and experienced individuals.

QX Resources is not a producer and has no material operating-site environmental liability. However, as an explorer, it is exposed to environmental and social risks attached to land access, field activity, community relations, and host-country regulation. These risks are managed through required program approvals, community engagement, and the Code of Conduct and Anti-bribery and Corruption Policy.

QX Resources has disclosed its policies and practices regarding the remuneration of non-executive directors and executive directors and other senior executives in the remuneration report contained in the Company’s 30 June 2026 Annual Report.

QX Resources has also disclosed its values in its Corporate Governance Plan, which can be found on the company’s website.

QX Resources aims to instill a culture of acting lawfully, ethically, and responsibly, as well as safeguarding the integrity of corporate reports. The company’s Corporate Governance Plan is available on the company’s website.
