Perpetual Resources has updated its corporate governance policies and risk management framework, including whistleblower, anti-bribery, and diversity policies, as well as its risk management review process.
Material actions and disclosures
The company has disclosed its Corporate Code of Conduct, Whistleblower Protection Policy, and Anti-Bribery and Anti-Corruption Policy, all of which are available on the company’s website. Any material breaches of these policies are reported to the Board or a committee of the Board.
Perpetual Resources has also adopted a Diversity Policy, which provides a framework for the company to establish, achieve, and measure diversity objectives, including gender diversity. However, the Board did not set measurable gender diversity objectives for the financial year ended 30 June 2026, citing the limited nature of the company’s existing and proposed activities and the existing Directors and senior executives’ sufficient skill and experience.
The company’s Corporate Governance Plan requires the company to disclose whether it has any potential or apparent exposure to environmental or social risks and, if it does, put in place management systems, practices, and procedures to manage those risks. The Board has considered the company’s exposure to environmental and social risks, particularly in Western Australia, Brazil, and the United States, and has determined that these exposures are commensurate with the early stage of the company’s activities.
Forward commitments
The company has outlined plans to periodically review the need for an internal audit function and assess the performance and objectivity of any internal audit procedures that may be in place.
The Board also plans to continue to review the company’s risk management framework at least annually to ensure it remains sound and that the company is operating with due regard to the risk appetite set by the Board.
Perpetual Resources will continue to disclose annually whether a review of the company’s risk management framework has taken place.
