Lodestar Minerals Limited Outlines Corporate Governance Practices for 2026

Lodestar Minerals Limited (Lodestar) has released its 2026 Corporate Governance Statement, outlining its commitment to achieving and demonstrating the highest standards of corporate governance. The statement reflects the governance practices in place throughout the 2026 financial year and complies with the 4th edition of the ASX Corporate Governance Principles and Recommendations.

Material actions and disclosures

The Board of Lodestar has established long-term goals and strategic plans for the Group, monitors their achievement, and reviews management accounts and reports to assess the Group’s progress. The Board also reviews and adopts budgets for the financial performance of the Group and ensures timely and balanced disclosure of all material information.

The Board has adopted a policy in relation to dealings in the securities of the Group, which applies to all Directors and employees. Under this policy, Directors are prohibited from short-term or ‘active’ trading in the Group’s securities and are not allowed to deal in the Group’s securities while in possession of price-sensitive information.

The Group has a continuous disclosure policy to ensure compliance with the Company’s continuous disclosure obligations under the Corporations Act 2001 and ASX Listing Rules. This policy aims to ensure that officers and employees understand these obligations and that any information which may need to be disclosed is brought to the attention of the Chairman for consideration.

The Board is committed to workplace diversity and has an objective of providing a balanced representation of employees from a diversity stance across the Group. However, due to the size of the Company, the Board does not consider it practicable to set measurable diversity objectives to achieve greater gender diversity at this time.

The Company has an Anti-Bribery and Anti-Corruption Policy which sets out the Company’s zero tolerance approach for any bribery or corruption in its business dealings and operations anywhere in the world.

The Board assesses its exposure to environmental and social sustainability risks on an ongoing basis and implements strategies to minimise exposure to these specific risks.

Forward commitments

The Board continues to review the corporate governance framework and practices to ensure they meet the interests of shareholders. The Board will review the Company’s compliance with this continuous disclosure policy at least once every 12 months and update it from time to time, if necessary.

The Board is in the process of finalising the drafting of an updated risk register commensurate with increased operations in the past 12 months.

The Board will continue to monitor and review the risk management framework on an ongoing basis to ensure it continues to be sound and that the entity is operating with due regard to the risk appetite set by the Board.

The Company will continue to encourage ethical and responsible behaviour and maintain an open working environment in which concerns regarding unethical, unlawful, or undesirable conduct can be raised and reported.

These actions and disclosures reflect Lodestar’s commitment to maintaining high standards of corporate governance and compliance with regulatory requirements.
