Perpetual Enhances Corporate Governance with Robust Policies and Risk Management

Perpetual’s Responsible Entity Board has bolstered its corporate governance framework with a robust set of policies and a rigorous risk management program. The Responsible Entity Board, consisting of two non-executive directors, one executive director, and one alternate executive director, oversees the implementation of these measures to ensure compliance with the highest standards of corporate governance.

Material actions and disclosures

The Responsible Entity has established a Code of Conduct and an Anti-Bribery and Corruption Policy to instil a culture of lawful, ethical, and responsible conduct. These policies are complemented by a Whistleblowing Policy to protect employees and contractors who report misconduct. The Responsible Entity also maintains a risk management framework, with the Perpetual Board setting a clear tone from the top regarding risk management.

Internal Audit provides independent assurance and reports to the Perpetual Audit, Risk and Compliance Committee (ARCC). The ARCC is responsible for overseeing Perpetual’s risk management framework and internal control systems, ensuring that all Group Executives are accountable for managing risk within the boundaries of the Perpetual Risk Appetite Statement (RAS).

The Responsible Entity’s directors and management are committed to implementing high standards of corporate governance, guided by Perpetual’s broader corporate governance principles. The Responsible Entity’s approach to governance is consistent with Perpetual’s overarching principles, ensuring that all subsidiaries and controlled entities adhere to the same standards.

Forward commitments

The Responsible Entity plans to continue maintaining its Code of Conduct and Anti-Bribery and Corruption Policy, reviewing and updating its risk management framework, and engaging with its Service Providers to ensure compliance with operational obligations. The Responsible Entity will also continue to monitor and report on the performance of its Service Providers, ensuring that its financial reports are true and fair and meet high standards of disclosure.

The Responsible Entity’s governance structure is designed to ensure compliance with the continuous disclosure requirements of the Corporations Act 2001 and the ASX Listing Rules. This includes a continuous disclosure policy to ensure timely and balanced disclosure of material information.

These measures reflect Perpetual’s commitment to promoting good corporate conduct and conducting business in accordance with the highest ethical and legal standards.
