The Responsible Entity, The Trust Company (RE Services) Limited, operates under the Perpetual Group governance structure, which applies to all its subsidiaries and controlled entities within the Perpetual Group.
Material actions and disclosures
The Responsible Entity has implemented a range of policies and procedures designed to ensure the integrity of corporate reports and timely and balanced disclosure. These include a continuous disclosure policy to comply with the continuous disclosure requirements of the Corporations Act 2001 and the ASX Listing Rules.
The Responsible Entity also has a Whistleblowing Policy to protect directors, executives, employees, and others who report misconduct, including breaches of law, regulation, and ethical behavior. The policy includes avenues for raising concerns and is supported by an independent and confidential hotline.
Additionally, the Responsible Entity operates under the Perpetual Risk Management Framework (RMF), which aligns with International Standard ISO 31000:2018 ‘Risk Management Guidelines’. The RMF supports the management of specific risks considered material to Perpetual, including those related to strategy, execution, people, financial, market, investment, product distribution, operational resilience, conduct, fraud, information technology, cyber/data security, sustainability, responsible investing, and compliance and legal.
The Responsible Entity’s Board meets at least quarterly and is responsible for monitoring compliance with the Compliance Plan for the Trust, the Trust’s Constitution, and the Corporations Act 2001 (Cth).
As part of its governance and risk management culture, Perpetual’s Internal Audit function provides independent and objective assurance, a disciplined approach to the assessment and improvement of risk management, and monitoring and reporting on audit findings and recommendations.
The Responsible Entity’s approach to corporate governance is consistent with the ASX Corporate Governance Council Corporate Governance Principles and Recommendations (4th Edition).
These measures demonstrate the Responsible Entity’s commitment to promoting good corporate conduct and conducting business in accordance with the highest ethical and legal standards.
