New Hope Announces Enhanced Risk Management and Governance Practices

New Hope has announced its latest approach to risk management and governance, emphasizing the review of its Enterprise Risk Management Framework and the ongoing commitment to a risk-aware culture. The Board oversees the assessment, management, escalation, and reporting of enterprise-wide risks, supporting informed decision-making across all levels of the Company.

Material actions and disclosures

New Hope’s Enterprise Risk Management Framework provides a consistent approach to risk management and aligns risk decision-making with the Group’s strategy, Values, governance arrangements, and risk appetite. The framework covers key elements of risk identification, assessment, ownership, control design and effectiveness, monitoring of current and emerging risks, escalation and reporting.

The Company’s internal audit function provides independent assurance on the adequacy and effectiveness of internal controls and governance systems. BDO was reappointed as the Internal Audit Service Provider for a three-year term.

Forward commitments

New Hope maintains a risk management maturity roadmap to support the ongoing enhancement of the Enterprise Risk Management Framework. Progress against the roadmap is managed through the annual risk management workplan.

The Company’s approach to risk management is informed by the Three Lines Model, with Management owning and managing risk as part of day-to-day business activities.

New Hope’s Sustainability Committee oversees, monitors, and reviews the Company’s practices and governance in the areas of sustainability, environment, climate change, social performance, human rights, and security.

The Board is committed to ethical, responsible, and lawful conduct in decision-making and ways of working, fostering a culture of effective working relationships and a working environment for all those who work for or engage with the Group.

New Hope’s Code of Conduct, which is based on the Company’s Values, sets out the expected standards of behaviour for the Board, Executives, and the broader workforce. The Board has responsibility for overseeing and monitoring the receipt of information regarding material breaches of the Code of Conduct.

The Board has adopted a Securities Trading Policy to assist Directors and certain employees in complying with their obligations under the insider trading prohibitions of the Corporations Act and to protect the reputation of the Company, its Directors, and employees.

New Hope’s Speak Up – Whistleblower Policy provides a confidential, anonymous, and independent process for employees and non-employees to raise concerns of unethical, illegal, or inappropriate behaviour and to receive protection from negative consequences that could result from their actions.

These measures reflect New Hope’s commitment to fostering a culture of acting lawfully, ethically, and responsibly.
