Microba Life Sciences Enhances Corporate Governance and Compliance

Microba Life Sciences Limited has enhanced its corporate governance framework, adopting a Code of Conduct, a Whistleblower Policy, and an Anti-Bribery and Corruption Policy, in line with the Australian Securities Exchange (ASX) Corporate Governance Council’s recommendations.

Material actions and disclosures

Microba has implemented several measures to ensure compliance with the ASX Corporate Governance Council’s recommendations. These include:

  • A Code of Conduct that applies to all Directors, officers, employees, contractors, consultants, and associates of Microba, available on the company’s website.
  • A Whistleblower Policy that encourages employees to report illegal, unacceptable, or undesirable conduct anonymously and confidentially, with procedures for handling disclosures and investigations.
  • An Anti-Bribery and Corruption Policy that outlines Microba’s stance on bribes, corruption, and improper payments, with a framework for handling gifts and benefits over $500.

The Board has also established an Audit and Risk Committee to oversee the integrity of Microba’s financial reporting systems and financial statements, and to review the need for an internal audit function.

Microba’s Nomination and Remuneration Committee is responsible for developing and implementing a process for annually evaluating the performance and professional development needs of the Board.
