GreenTech Metals Ltd Updates Corporate Governance and ESG Policies

GreenTech Metals Ltd (ASX: GRE) has updated its corporate governance and ESG policies, focusing on ethical conduct, risk management, and disclosure practices. The company has established a Diversity Policy, which includes requirements for the Board to assess annually both the objectives and progress in achieving gender diversity, where practical. The Board strongly endorses gender diversity but has not set measurable objectives due to the company’s current size and structure.

Material actions and disclosures

The company has adopted a Performance Evaluation Policy as part of its Corporate Governance Plan, setting out the process for evaluating the performance of the Board and individual Directors. Additionally, GreenTech has a Code of Conduct that requires Directors, management, and employees to deal with the Company’s customers, suppliers, competitors, and each other with honesty, fairness, and integrity.

The company has also adopted a Whistleblower Protection Policy and an Anti-Bribery and Anti-Corruption Policy, outlining the Company’s responsibilities and those working for it in observing and upholding its policy on bribery and corruption.

The Board oversees the risk management framework, which includes economic, environmental, and social risks. The company aims to comply with all relevant legislation, assess and mitigate the environmental impact of its activities, and encourage a culture of safety and responsibility among its personnel.

GreenTech does not currently have an internal audit function but has policies in place to ensure strategic, operational, legal, reputation, and financial risks are identified, assessed effectively, and efficiently managed and monitored.

The company plans to continue enhancing its risk management framework and monitoring procedures to ensure the framework remains sound and effective.

GreenTech remains committed to recruiting and appointing individuals based on merit, experience, and suitability for the role, regardless of gender, ethnicity, age, or other irrelevant attributes. The company will consider setting measurable objectives for gender diversity as it grows in size and complexity.

The Board will continue to review and update the corporate governance and risk management processes to ensure they remain suitable for a listed public company of its size.
