Flight Centre Travel Group Enhances Corporate Governance and Risk Management

Flight Centre Travel Group Limited (FLT) has strengthened its corporate governance and risk management frameworks, focusing on regulatory compliance, ethical conduct, and sustainability. FLT faces regulatory risks linked to non-compliance with jurisdiction-specific requirements, including data privacy breaches, financial reporting failures, and money laundering risks. The group ensures regulatory compliance through robust policies, effective training, advanced technology, and streamlined processes.

Material actions and disclosures

FLT has implemented a range of policies to manage these risks, including a Code of Conduct, an Anti-Bribery and Corruption Policy, and a Whistleblowing Policy. The company also monitors ethical behaviour throughout its supply chain, especially regarding human rights, modern slavery, and data security.

FLT has a dedicated sustainability team that leads compliance efforts with jurisdictional sustainability standards. In FY26, FLT became subject to mandatory climate-related financial disclosure under Chapter 2M of the Corporations Act 2001 (Cth) and the Australian Accounting Standards Board’s AASB S2 Climate related Disclosures, as a Group 1 reporting entity. The company’s first climate statement, prepared in accordance with the Australian Sustainability Reporting Standards (ASRS), covers governance, strategy, risk management, and metrics and targets relating to climate-related risks and opportunities.

Forward commitments

FLT aims to continue enhancing its risk management framework and sustainability practices. The company will assess climate risks and opportunities following sustainability standards in the upcoming financial year.

FLT’s Board and Audit and Risk Committee oversee the company’s risk management framework, which includes processes for identifying, assessing, mitigating, and monitoring risks. The group’s risk management framework is built around the following processes: identification, assessment, mitigation and control, and monitoring and reporting.

The company’s approach to risk management is designed to support the protection of assets and enhance shareholder value. FLT’s risk management framework is reviewed annually to ensure it remains sound.

FLT’s commitment to ethical conduct and strong governance is essential for business success and meets the expectations of shareholders, regulators, customers, and employees. The company actively monitors and reports any material breaches of its code of conduct directly to the Board.
