ELK Range Announces Corporate Governance and Risk Management Framework

ELK Range, a mineral exploration and development company, has outlined its corporate governance and risk management framework, focusing on ethical conduct and risk oversight. The company has a program for inducting new directors and ensuring they maintain the skills and knowledge needed to perform their roles effectively.

Material actions and disclosures

The company has a Code of Conduct for its directors, senior executives, and employees, which is available on its website. The Board is informed of any material breaches of the Code of Conduct. Additionally, ELK has adopted an Anti-Bribery and Corruption (ABC) Policy, which is also available on the website.

ELK does not have a separate risk committee. Instead, the full Board oversees the Company’s risk management framework, including setting the risk appetite and approving the Risk Management Policy. The Board reviews the risk management framework at least annually to ensure it continues to be sound.

Forward commitments

The company plans to undertake its first formal performance evaluation of the Board, its committees, and individual directors in respect of the year ending 30 June 2027.

The Board will also conduct its first review of the risk management framework in 2026, following the end of the reporting period.

ELK will reconsider setting measurable objectives for achieving gender diversity as the company’s activities and workforce grow.
