Critical Minerals Group Enhances Governance and Compliance Practices

Critical Minerals Group Limited has announced several key governance and compliance measures, including a whistleblower policy and adherence to anti-bribery and corruption standards. The company’s latest Corporate Governance Statement outlines its commitment to maintaining high standards of accountability and ethical conduct.

Material actions and disclosures

The company has developed a Whistleblower Policy to protect individuals who report critical opinions about the company’s conduct or business practices. The policy ensures that the Board is informed of any material incidents reported under the policy.

Critical Minerals Group also prohibits bribery and corruption in all its dealings across every jurisdiction. Compliance with the Company’s Anti-bribery and Corruption Policy (ABC Policy) is foundational to the company’s values and to the preservation of the company’s good reputation and standing in the community.

The company provides quarterly, half-year and full-year reports which include financial performance and progress on business activities. These reports are reviewed by the Chair, CEO, Company Secretary and CFO prior to release.

Forward commitments

The company does not have an Audit Committee as the Board considers the company will not currently benefit from its establishment. The Board carries out the duties that would ordinarily be carried out by an Audit Committee under the Audit and Risk Management Committee Charter.

The company does not have a formal induction and professional development program for new directors due to its size and the experience of the directors. However, informal induction and training are provided as required.

The company does not have a formal Nominations Committee as the size of the Board is not sufficient to warrant one. The non-executive directors fulfill the obligations that relate to nominations set out in the Remuneration and Nomination Charter.

The company does not have a skills matrix in relation to the Board members. The Board considers that such a matrix is not necessary given the current size and scope of the company’s operations.

The company does not have a Risk Committee as the Board considers the company will not currently benefit from its establishment. The Board carries out the duties that would ordinarily be carried out by a Risk Committee under the Audit and Risk Management Committee Charter.

The company’s Board Charter states that the Chair must be an independent non-executive Director. For the financial year ended 30 June 2026, the roles of the Chair and CEO were held by different people.

These actions and disclosures reflect the company’s commitment to sound corporate governance practices, ensuring that the company complies with the Corporations Act, Listing Rules, the company’s Constitution and other applicable laws and regulations.

These measures are part of the company’s ongoing efforts to maintain high standards of accountability and ethical conduct, as outlined in the Corporate Governance Statement.
