Pacific Current Group Enhances Corporate Governance and Compliance Policies

Pacific Current Group has updated its corporate governance and compliance policies, including whistleblower, anti-bribery, and securities trading policies, to ensure ethical and responsible business practices.

Material actions and disclosures

Pacific Current Group has adopted a comprehensive Whistleblower Policy, which establishes an internal reporting system to protect individuals who disclose misconduct. The policy covers areas such as confidentiality, duties of employees, investigation of misconduct, and protection of whistleblowers. Any material breaches of the Whistleblower Policy are reported to the Board or the Audit and Risk Committee (ARC).

The company has also implemented an Anti-Bribery and Corruption Policy, which strictly prohibits the making of bribes, illegal or other improper payments to government or public officials in all jurisdictions where the company operates. Material breaches of this policy are reported to the Board or the ARC.

Pacific Current Group has established a Securities Trading Policy, under which directors and employees and their associates may only trade in the company’s securities during specific trading windows. This policy is designed to prevent insider trading and ensure compliance with securities laws.

The Board has established an Audit and Risk Committee (ARC) to oversee the effectiveness and performance of the external auditor and ensure the lead audit partner rotates after a maximum of five years. The ARC met four times during the year ended 30 June 2026.

Pacific Current Group has a Continuous Disclosure Policy to ensure compliance with ASX Listing Rules disclosure requirements. The Board has designated the Company Secretary as the person responsible for overseeing and coordinating disclosure of information to the ASX.

The company has also established a Remuneration, Nomination and Governance Committee (RNGC) to ensure the company has a Board of an effective composition, size, diversity, and commitment to adequately discharge its responsibilities and duties.

Pacific Current Group aims to continue improving its corporate governance practices and aligning the interests of senior executives with those of shareholders through its remuneration framework.

The company will continue to review and update its policies and practices to ensure compliance with regulatory requirements and best practices in corporate governance.

Pacific Current Group will also continue to evaluate the performance of the Board, its committees, and individual directors annually to ensure the company is operating effectively and efficiently.
