Red Metal Limited Outlines Key Corporate Governance Policies

Red Metal Limited has outlined its key corporate governance policies, including its Securities Trading Policy, Whistleblower Policy, and Anti-Bribery and Corruption Policy, in accordance with the ASX Listing Rules and Corporate Governance Council recommendations.

Material actions and disclosures

The Company has developed a Securities Trading Policy to regulate trading in its securities by Directors, officers, and employees. Directors are required to report any movements in their holdings of Company securities to the Company Secretary, which are then reported to the ASX as required.

Red Metal Limited has also developed a Whistleblower Policy and an Anti-Bribery and Corruption Policy, both of which have been endorsed by the Board and apply to all employees, contractors, consultants, Directors, and officers. These policies are disclosed on the Company’s website.

Material incidents reported under the Whistleblower Policy and material breaches of the Anti-Bribery and Corruption Policy will be reported to the Board or a committee of the Board.

The Company does not have an audit committee, as the Board considers that the Company is not currently of a size or complexity to justify the formation of separate or special committees. The Board as a whole is able to address the governance aspects of the Company’s activities and ensure adherence to appropriate ethical standards.

Red Metal Limited requires external auditors to demonstrate quality and independence, and the performance of the external auditor is reviewed periodically.
