Otto Energy Limited Reports on ESG and Financial Assurance Risks

Otto Energy Limited has reported on its approach to managing environmental, social, and governance (ESG) risks, including the risk of demand for supplemental financial assurance under the 2024 BOEM rule. The company is exposed to a regulatory framework in transition, with the 2024 Rule remaining in force but not fully enforced, a proposed replacement rule under review, and the restructuring of the regulatory body.

Material actions and disclosures

As a non-operator, Otto evaluates partner selection and tracks operational environmental data to monitor and manage environmental risks. The company also has a comprehensive governance framework, including procedures for the selection and appointment of the board of directors, board committees, associated policies and procedures, the corporate delegation of authority, and independent external financial and reserves audits.

Regarding social risks, Otto proactively maintains and builds its social licence to operate through the application of its values, effective stakeholder engagement strategies, its regulatory compliance framework, and its anti-fraud and corruption programme. The company’s anti-bribery and corruption framework aims to prevent, detect, and respond to unethical behaviour.

Financial assurance risks are managed by retaining cash on its balance sheet consistent with its estimate of the supplemental financial assurance that would be required under the 2024 Rule, as any surety bond obtained to satisfy a demand would be expected to require full cash collateral.

Forward commitments

On 24 June 2026, the company initiated a formal process to evaluate the potential sale of its Gulf of America oil and gas assets, comprising working interests in the South Marsh Island 71 (SM 71) oil field and the Green Canyon 21 (GC 21) deepwater oil well.

As at the date of this report, Otto has not received any demand from BOEM for supplemental financial assurance and is not presently able to determine the amount or timing of any such demand that may be made in the future.

The company’s cash on hand at 30 June 2026 was US$23.197 million with the Company having no outstanding debt. The cash balance includes restricted cash of US$2.925 million, held pending receipt withholding tax certificates from the US Internal Revenue Service and US$6.000 million related to an intercompany revolving line of credit to ensure US liquidity during the period in which the Company is funding ongoing operations, reserves for the future winddown of its business, operations and assets and satisfying any contingent asset retirement obligation cash collateral requirements.
