Marquee Resources Limited has released its latest Corporate Governance Statement, detailing its practices and policies in line with the Corporate Governance Council’s recommendations. The company has disclosed its diversity policy and outlined its measurable objectives for achieving gender diversity, although these objectives have yet to be set.
Material actions and disclosures
The company has satisfied the requirement to have and disclose a whistleblower policy and an anti-bribery and corruption policy. It also ensures that the board or a committee of the board is informed of any material breaches of these policies.
Marquee Resources has not established an audit committee due to its small size, but the full board undertakes the responsibilities of an audit committee. The company has disclosed the charter of the committee and the processes it employs to independently verify and safeguard the integrity of its corporate reporting.
The company’s risk management framework is reviewed at each board meeting, and the board continually assesses, evaluates, and improves the effectiveness of its risk management and internal control processes.
Marquee Resources has also disclosed its process for complying with continuous disclosure obligations under listing rule 3.1, ensuring that its board receives copies of all material market announcements promptly after they have been made.
Forward commitments
Marquee Resources aims to set measurable objectives for achieving gender diversity in the composition of its board, senior executives, and workforce generally, as required by the Corporate Governance Council.
The company also plans to establish a remuneration committee and a nomination committee, each with at least three members, a majority of whom are independent directors, to address board succession issues and ensure the board has the appropriate balance of skills.
Marquee Resources Limited’s Corporate Governance Statement is available on its website, providing transparency and accountability to its stakeholders.
