Genesis Minerals Limited has bolstered its corporate governance framework, emphasizing induction programs for new directors and a comprehensive code of conduct. The company also highlights its commitment to cyber security as a material risk, reflecting its ongoing efforts to manage significant operational challenges.

Material Actions and Disclosures

The company provides induction material for new directors and offers professional development opportunities. Genesis Minerals has a Code of Conduct that sets out principles and standards for directors, executives, and employees. Additionally, the company has a Whistleblower Policy and an Anti-Bribery and Corruption Policy, both of which are supported by external providers for anonymous reporting and incident handling.

Genesis Minerals has established an Audit & Finance Committee and a Risk & Sustainability Committee, both comprised of three non-executive, independent directors. The company also recognizes cyber security as a material risk and conducts regular reporting on this topic, engaging an external provider for a ‘deep dive’ on cyber security during the year.

Despite its current size and stage of development, Genesis Minerals does not have an internal audit function but relies on external financial audits conducted half-yearly and annually by BDO Audit. The company has set an internal measurable objective for achieving gender diversity in the composition of the Board, aiming for approximately 30% female representation. As of 30 June 2026, the company achieved 29% female representation of directors appointed.

Forward Commitments

Genesis Minerals plans to review its risk management framework at least annually and evaluate the performance of the board, its committees, and individual directors. The company also aims to continue recognizing and managing cyber security as a material risk, and it will monitor and report on the status of the Company’s workplace diversity progress at each meeting of the People & Culture Committee and the Board.

Genesis Minerals will engage an independent and appropriately qualified external provider to undertake a review of Board performance and ensure that the external financial audits are sufficient for the process. The company will continue to assess and monitor the internal audit function requirement as it delivers on its growth plans.
