Cazaly Resources Limited has updated its Environmental, Social, and Governance (ESG) framework and introduced new policies to enhance corporate governance practices. The company has developed its ESG framework to align with the 21-core metrics and disclosures promoted by the World Economic Forum, ensuring comprehensive reporting and stakeholder engagement.
Material actions and disclosures
Cazaly has implemented a Code of Conduct, a Whistleblower Policy, and an Anti-Bribery and Corruption Policy. These policies are designed to maintain the company’s integrity, ensure compliance with legal obligations, and address the reasonable expectations of stakeholders. The company also discloses its diversity policy and the progress made towards achieving gender diversity in its board, senior executive positions, and workforce.
The Board of Cazaly does not have a separate audit committee. Instead, the Board performs the role of an audit committee, ensuring that all required items are discussed at Board meetings. The appointment and removal of the external auditor require shareholder approval, and the audit partner is rotated every three years.
The company has adopted a corporate governance manual containing additional policies to support governance practices. Management regularly reports to the Board on operational, financial, and ESG risks, among others. The Board conducts a Company strategy session annually to review risk factors and define the company’s risk appetite.

The company also plans to increase its use of artificial intelligence (AI) tools across various business functions, while ensuring that these tools are subject to human review and appropriate approval.
