Audeara has disclosed its values and a code of conduct for directors, senior executives, and employees, as well as a whistleblower policy and an anti-bribery and corruption policy. The company also provides security holders with the option to receive communications electronically and ensures that all substantive resolutions at meetings of security holders are decided by a poll rather than by a show of hands.
Audeara does not have a nomination committee, an audit committee, or a remuneration committee, but it has disclosed the processes it employs to address board succession issues, oversee risk management, and set remuneration levels and compositions.
