Sea Forest Establishes Whistleblower and Anti-Bribery Policies

Sea Forest Limited has established and adopted a Whistleblower Policy and an Anti-Bribery and Corruption Policy, both of which will be reviewed regularly by the Board. The Company also established an Audit, Risk & Compliance Committee, comprising four independent Non-Executive Directors, chaired by an independent Director who is not the Chair of the Board.

Material actions and disclosures

The Audit, Risk & Compliance Committee comprises four members, all of whom are independent Non-Executive Directors, and is chaired by an independent Director who is not the Chair of the Board. The Committee’s responsibilities include overseeing risk, risk management, and internal control processes.

The Company has a Diversity Policy that includes requirements for the Board to set measurable objectives for achieving gender diversity and to assess annually both the objectives and the Company’s progress in achieving them. However, the Company does not consider it appropriate to set measurable objectives for achieving gender diversity at this point in time, given the current nature and scale of the Company.

The Company has established a Remuneration & Nomination Committee to oversee the process of appointment and remuneration of Non-Executive Directors, the Managing Director/CEO, and other senior executives and employees of the Company.

Forward commitments

The Company plans to formalise measurable objectives for achieving gender diversity as the Company grows, setting appropriate and meaningful benchmarks that are able to be measured and monitored for effectiveness.
