Resource Base Limited Outlines Corporate Governance and Compliance Measures

Resource Base Limited has outlined its principal ESG development focusing on corporate governance and compliance measures. The company has detailed its commitment to inducting new directors and periodically reviewing the need for existing directors to undertake professional development to maintain the skills and knowledge needed to perform their roles effectively.

Material Actions and Disclosures

The company has a program for inducting new directors and periodically reviewing whether there is a need for existing directors to undertake professional development. The Nominations Committee (or, in its absence, the Board) is responsible for the review and approval of induction and continuing professional development programs and procedures for directors.

Resource Base Limited also has a Diversity Policy, which provides a framework for establishing, achieving, and measuring diversity objectives, including gender diversity. However, given the current small size of the Board and the company’s operations, the Board does not presently intend to set measurable gender diversity objectives.

The company’s values are set out in its Code of Conduct, available on the company’s website. All employees receive appropriate training on the company’s values, and senior executives continually reference such values.

Resource Base Limited has a Corporate Code of Conduct, a Whistleblower Protection Policy, and an Anti-Bribery and Anti-Corruption Policy, all of which are available on the company’s website. Any material breaches of these policies are reported to the Board or a committee of the Board.

Forward Commitments

The company plans to continue evaluating the performance of the Board, its committees, and individual directors on an annual basis. The Nomination Committee (or, in its absence, the Board) is responsible for arranging an annual performance evaluation of the Board, its committees, individual directors, and senior executives as appropriate.

Resource Base Limited intends to disclose whether performance evaluations were conducted during each reporting period in accordance with the process set out in the Corporate Governance Plan.

The company also plans to disclose whether it has any material exposure to environmental or social risks and how it manages or intends to manage those risks.

Resource Base Limited will continue to ensure that all substantive resolutions at security holder meetings are decided by a poll rather than a show of hands.

These measures reflect the company’s ongoing commitment to corporate governance and compliance.
