Kali Metals Limited has updated its corporate governance practices, focusing on the disclosure of its diversity policy and whistleblower protection policy, while partially complying with certain ASX Corporate Governance Council recommendations.
Material actions and disclosures
The company has a Diversity Policy which applies to all employees, senior executives, and directors of the Company and subsidiaries. However, the Board has not set measurable objectives for achieving gender diversity, citing the relatively small number of employees as the reason. The proportion of female employees across the organisation is 33%, with 25% in senior executive positions and 0% on the board.
Kali Metals also has a Whistleblower Protection Policy and an Anti-Bribery and Corruption Policy, both of which require the Board or a committee to be informed of any material incidents or breaches.
The company has established an Audit and Risk Management Committee (ARC) which reviews the Company’s financial statements with management and its external auditor before providing recommendations to the Board.
Forward commitments
The company aims to continue monitoring its diversity and review the appropriateness of establishing measurable objectives as it grows.
Kali Metals will periodically review whether there is a need for an internal audit function that complies with Recommendation 7.3.
The Board will continue to oversee risk management and meet to review and assess risks, currently without any material exposure to economic, environmental, or social risks.
