Challenger has bolstered its corporate governance framework with a range of policies and practices aimed at promoting ethical decision-making, risk management, and diversity. The company has adopted a policy of not making political donations in any country or jurisdiction in which it operates, aligning with its commitment to ethical and responsible decision-making.
Material actions and disclosures
Challenger has established a Whistleblower Policy and a Code of Conduct to promote ethical and responsible decision-making. The company also has a Human Rights Statement and a Diversity, Equity and Inclusion Policy, reflecting its commitment to promoting a diverse and inclusive culture. The Board has set a target of at least 40% female representation at Board level, with current representation at 37.5% as of 30 June 2026.
The Group Risk Committee meets a minimum of four times a year and oversees the effectiveness of the risk framework and internal controls. The Group Audit Committee, comprised of a majority of Independent Non-Executive Directors, reviews the Group’s financial reports and ensures their accuracy. The Group People and Remuneration Committee reviews the performance of the CEO and makes remuneration recommendations to the Board.
Challenger’s independent external auditor is Ernst & Young (EY), first appointed in November 2003 and re-appointed in 2014. The Board meets formally approximately seven times a year, and senior executives regularly present at Board meetings.
Forward commitments
The Board will continue to promote a diverse and inclusive culture, maintain its citation as WGEA Employer of Choice, and take steps to improve gender representation at all levels across its workforce. The Group Risk Committee will continue to monitor and manage risks to the Group, while the Group Audit Committee will continue to review the Group’s financial reports and ensure their accuracy.
The Nomination Committee will continue to assess the Board’s capabilities and recommend new Directors. The Board will continue to review its composition, having regard to the knowledge, skills, and experience of each Director, and undertake a formal review of its performance, individual Directors, and Board committees at least annually.
